Re: Consent to Assignment Letter
Dear Esther Gesick,
FIRM Resources II, LLC has obtained two Weld County Oil and Gas Leases from Jordance Energy, Inc. in an
Assignment of Oil and Gas Leases recorded June 14, 2013 at Reception No. 3940222, attached hereto. Pursuant to
Paragraph 9 of lease dated February 25, 2013 and Paragraph 10 of lease dated January 16, 2013, Land Energy, Inc., on
behalf of FIRM Resources II, LLC requests the consent of the Board of County of Commissioners of the County of
Weld to assign said leases and all of the lands covered thereby to Extraction Oil & Gas, LLC. Please find enclosed a
check in the amount of $50.00 as fee for your written consent.
Please have the appropriate party execute the enclosed copy of this letter in the space provided to indicate the written
approval and consent of the Board of County Commissioners of the County of Weld to the assignment and transfer of
the Oil and Gas Leases as provided above. Following execution, please return this letter to us in the enclosed envelope.

ASSIGNMENT OF OIL AND GAS LEASES
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned: FIRM Resources II, LLC

(hereinafter called Assignor, whether one or more), for and in consideration of One Dollar ($1.00), the receipt and
sufficiency whereof is hereby acknowledged, does hereby sell, assign, transfer and set over unto:
Extraction Oil & Gas, LLC
1888 Sherman, Suite 500
Denver, Colorado 80203
(hereinafter called Assignee), All of Assignor's undivided interests, together with any other rights, titles and
interests of Assignor, of every kind and character in and to the lands located in Weld County, Colorado that are
more particularly described below, to wit:
See Exhibit "A" attached to and made a part hereof.
TO HAVE AND TO HOLD the Assets unto Assignee, its successors and assigns forever; ON AND SUBJECT TO
THE FOLLOWING TERMS AND CONDITIONS:
This Assignment is made without warranty of any kind, whether expressed or implied, at common law, by statute or
otherwise, except Assignor warrants title to the Assets against all claims, liens and encumbrances arising by, through
and Assignor, but not otherwise. This Assignment is made with full substitution and subrogation of Assignee in and
to all covenants and warranties of title by others heretofore given or made with respect of the Assets or any part
thereof, including, but not necessarily limited to that certain Letter Agreement by and between Jordance Energy,
Inc., Land Energy, Inc. and HRM Resources, LLC dated November 30, 2012.
Assignor agrees to execute and deliver to Assignee all such other additional instruments, notices, transfer orders and
other documents and to do all such other and further acts and things as may be necessary to more fully and
effectively grant, convey and assign to Assignee all of Assignor's right, title and interest in the Assets.
EXECUTED, this 15"' day of August but effective for all purposes on August I, 2013.
